This text is assembled from the boilerplate these documents conventionally use and has not yet been reviewed by Aurora World's legal adviser. Treat it as a working draft rather than as the agreement in force.
Aurora World Corporation ("Aurora World", "we") operates Aurora Brand Studio at brandstudio.auroraworld.com (the "Site"), a credentialed library of brand, character and product artwork made available to Aurora World's licensees, distributors, agencies and suppliers (each a "Partner").
These Terms and Conditions govern your use of the Site. By signing in you confirm that you accept them and that you have authority to accept them on behalf of the Partner you work for. If you do not accept them, do not sign in.
A credential is issued to one named person and may be used only by that person. Your user ID and password identify you, not your employer and not your team.
You must not:
Every person who needs access must hold their own credential. Aurora World issues them at no charge: ask your Aurora World contact, who will arrange one with the access that person's work requires.
Your credential has an end date. A credential is normally issued for a fixed term, matching the agreement between Aurora World and the Partner that employs you, and stops working on that date. You can see the date on your account page at any time, and the Site tells you when it is within thirty days. Ask your Aurora World contact to renew it before then; a lapsed credential is renewed, not replaced.
Downloads are subject to a reasonable allowance. Each credential may download a limited number of files in any hour and in any day. The allowance is set well above ordinary use and exists to make bulk copying of the library visible and slow; if your work genuinely needs more, ask Aurora World for a larger allowance rather than using a second person's credential. If you reach the limit the Site tells you so, and access returns by itself once the period has passed.
You are responsible for everything done with your credential. If you know or suspect that someone else has learned your password or used your account, you must tell Aurora World immediately at the address in section 12 and change your password at once.
Aurora World may suspend or withdraw a credential that appears to be shared, without notice, and may report repeated or deliberate sharing to the Partner that employs you as a breach of the agreement between us.
Artwork, guidelines, photography, character art and product data on the Site ("Material") are made available to you solely so that you can carry out work for Aurora World under a licence, supply, distribution or services agreement between Aurora World and the Partner you work for (the "Agreement").
You may download, reproduce and adapt Material only:
The access your credential is given is a technical convenience, not a grant of rights. Where the Site shows you more than the Agreement licenses, the Agreement governs.
You must not:
The Site carries ranges, artwork and product information that Aurora World has not announced. Treat everything on the Site as confidential information of Aurora World under the Agreement, and do not disclose it to anyone outside the Partner or to anyone inside it who does not need it for the work. This obligation survives the end of your access.
Aurora World or its licensors own all intellectual property rights in the Material and in the Site. Nothing on the Site transfers any of those rights to you or to the Partner. Some Material is the property of a third party licensed to Aurora World and is marked as such; it may carry further restrictions set by that owner.
Aurora World records sign-ins, downloads and changes made through the Site, including the account used, the time, and the network (IP) address the request came from. We do this to operate the Site, to investigate suspected credential sharing or unauthorised access, and to evidence what was supplied to whom under the Agreement. Section 5 of the Privacy Policy explains how long those records are kept.
The Site is provided on an "as is" and "as available" basis. Aurora World does not warrant that it will be uninterrupted or error-free, and may change, suspend or withdraw any part of it, including any Material, at any time. Where a change would affect work already approved under the Agreement, we will use reasonable efforts to give you notice.
Aurora World may suspend or terminate your access at any time, and will normally do so when you leave the Partner, when the Agreement ends, or on breach of these terms. On termination you must stop using the Material except where the Agreement expressly permits continued use, and delete copies held outside the work the Agreement covers.
Nothing in these terms limits liability that cannot be limited by law. Subject to that, Aurora World is not liable to you for indirect or consequential loss, loss of profit, or loss arising from your use of Material outside the Agreement. Liability between Aurora World and the Partner is governed by the Agreement, which prevails over this section if they conflict.
We may update these terms. The effective date at the head of this page changes when we do, and material changes will be notified to the email address on your account. Continuing to use the Site after that date means you accept the updated terms.
These terms are governed by the laws of the Republic of Korea, and the courts of Seoul have exclusive jurisdiction, without prejudice to any dispute resolution clause in the Agreement.
